Ethics Research and Consulting Private Limited having its registered office at 12A/09, 13th Floor, Parinee Cresenzo, G-Block, BKC, Bandra East, Mumbai – 400051, India (hereinafter referred to as ” EthicsIndia“, “we“, “us“, or ” our“) provides self-paced online courses for the professionals and students (collectively, the “User”)seeking to enrol for such courses (the ” Services“), which Services are accessible at  www.ethicsindia.online  and any other websites through which EthicsIndia makes the Services available (collectively, the “Site “).

By accessing or using the Site, or Services or by downloading or posting any content from or on the Site, you would be indicating that you have read, and that you understand and agree to be bound by these terms and receive our Services (“ Terms of Services” or “Terms”), whether or not you have registered with the Site and/or Application.

Therefore, please read these terms and conditions carefully before using Our Site or Service.

Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

For the purposes of these Terms and Conditions:

  • Company (referred to as either “the Company”, “We”, “Us” or “Our” in this Agreement) refers to Ethics Research and Consulting Pvt Ltd, 12A/09, 13th Floor, Parinee Cresenzo, G-Block, BKC, Bandra East, Mumbai – 400051, India.
  • Content” means text, graphics, images, music, software (excluding the Application), audio, video, information or other materials
  • Country refers to: India
  • Course means educational course(s) listed on the Site
  • Course Fees means the amounts that are due and payable by a user for enrolment of Course
  • Device means any device that can access the Service such as a computer, a cellphone or a digital tablet.
  • User means a person who completes EthicsIndia’s account registration process,  including but not limited to Professionals and Students
  • “Payment Method” means a payment method that you have added to your EthicsIndia Account, such as a credit card, debit card or net banking
  • Service refers to the courses and solutions offered by the Company.
  • “Tax” or “Taxes ” mean any sales taxes, value added taxes (VAT), goods and services taxes (GST), service tax, that EthicsIndia may be required by law to collect and remit to governmental agencies, and other similar municipal, state, federal and national indirect or other withholding and personal or corporate income taxes
  • Terms and Conditions (also referred as “Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Website.
  • Third-party Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Website.
  • Website refers to EthicsIndia, accessible from https://ethicsindia.online/
  • You means the individual accessing or using the Website, or the company, or other legal entity on behalf of which such individual is accessing or using the Website or services, as applicable.

Acknowledgment

These are the Terms and Conditions governing the use of this Website & services and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Website and services.

Your access to and use of the Website & service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Website & services.

By accessing or using the Website You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions, then You may not be access the Website and/or its services. If you use our services or buy any service through a Demo, you expressly agree to these terms.

You represent that you are over the age of 18. While individuals under the age of 18 may utilize the website, they shall do so only with the involvement & guidance of their parents and / or legal guardians.

Your access to and use of the Website is also conditioned on Your acceptance of and compliance with the Privacy Policy of the Company. Our Privacy Policy describes Our policies and procedures on the collection, use and disclosure of Your personal information when You use the Application or the Website and tells You about Your privacy rights and how the law protects You. Please read Our Privacy Policy carefully before using Our Website. Please also see our Privacy Policy, which is not part of this Terms of Use.

These Terms govern your access to and use of the Site and Services and all Content (defined above), and constitute a binding legal agreement between You and EthicsIndia. You further accept to allow EthicsIndia to reach them through Call, SMS, Email, Whatsapp for providing existing services and for providing information on new products and services.

You hereby authorize to receive SMS, Whatsapp, Email and other communications via EthicsIndia and it supersedes the registry of NDNC & DND as per the regulation of TRAI.

If You do not agree to these Terms, You have no right to obtain information from or otherwise continue using the Site or Services. Failure to use the Site or Services in accordance with these Terms may subject you to civil and criminal liabilities

The Site and Services comprise an online platform which creates listings for Courses and Users may learn about and enrol for the course directly through the Site.

Usage of Site, Application or Services

The Site and Services can be used to facilitate the Users to enrol for Courses. Such Courses are included in listings on the Site and Services by EthicsIndia. You may view Listings as an unregistered visitor to the Site and Services; however, if You wish to enrol for the Courses, You must first register to create an EthicsIndia User Account (defined below) with EthicsIndia.

EthicsIndia makes available an online platform which provides various online Courses for the Users. Unless explicitly specified otherwise in the EthicsIndia platform, EthicsIndia’s responsibilities are limited to facilitating the availability of the Courses through the Site and Services.

Account Registration

In order to access certain features of the Site, and to enrol for Courses, You must register to create an account (“EthicsIndia User Account“) and become a member. You may register to join the Services directly via the Site.

Your EthicsIndia User Account and Your profile page will be created for Your use of the Site based upon the personal information You provide to us. You may not have more than one (1) active EthicsIndia User Account. You agree to provide accurate, current and complete information during the registration process and to update such information to keep it accurate, current and complete.

EthicsIndia reserves the right to suspend or terminate your EthicsIndia User Account and your access to the Site and Services if you create more than one (1) EthicsIndia User Account, or if any information provided during the registration process or thereafter proves to be inaccurate, fraudulent, not current, incomplete, or otherwise in violation of these Terms.

You are responsible for safeguarding your password. You agree that you will not disclose your password to any third party and that you will take sole responsibility for any activities or actions under your EthicsIndia User Account, whether or not you have authorized such activities or actions. You will immediately notify EthicsIndia of any unauthorized use of your EthicsIndia User Account.

Links to Other Websites

Our Website may contain links to third-party web sites or services that are not owned or controlled by the Company.

The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party web sites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise You to read the terms and conditions and privacy policies of any third-party web sites or services that You visit.

Limitation of Liability

You agree that under no circumstance shall we be liable for direct, indirect, incidental, consequential, special, punitive, exemplary, or any other damages arising out of your use of the Site. Additionally, the Company is not liable for damages in connection with:

  1. Any failure of performance, error, omission, denial of service, attack, interruption, deletion, defect, delay in operation or transmission, computer virus or line or system failure;
  2. Loss of revenue, anticipated profits, business, savings, goodwill or data;
  3. Third party theft, destruction, unauthorized access, alteration of your information;
  4. Any modification, suspension or discontinuance.

Restricted Use of Content

You may not copy, reproduce, distribute, publish, enter into a database, display, perform, modify, create derivative works from, transmit or in any way exploit any part of our website or any service obtained. You may not distribute any part of this site or any service content over any network, including, without limitation, a local area network, or sell or offer it for sale. In addition, these files may not be used to construct any kind of database.

We forbid you from any attempts to resell or put to commercial use any part of the services obtained from us; any collection and use of any product listings, descriptions, or prices; any derivative use of the services; any downloading or copying of account information for the benefit of any other merchant; any renting, leasing, or otherwise transferring rights to the Site / Service; displaying the name, logo, trademark or any data gathering or extraction tools.

If the Company reasonably believes that an account and Password is being used / misused in any manner it shall reserve the right to cancel access rights immediately without notice, and block access to all users from that IP address.  Access to the services and its user profile shall be only on an authorized basis and You agree to intimate us immediately in case of any authorized access or any other breach of security. 

Subscription Period and Access to the Course(s)

Purchase of a Course will allow you access only to the Content available under the Course you have purchased(“Subscription”). The validity/term of access to the Course will be effective for the duration as mentioned in the Course listing or for 30 days from the date of purchase of the Course (“Subscription Period”). The access will automatically be removed after the completion of the course or after 30 days of the purchase, whichever is earlier.

Subscription Period may be extended upon renewal of your already purchased Subscription or upon request by the User. The request of the User will be examined on case to case basis and extension of Subscription period will be at sole discretion of EthicsIndia. There shall be no challenge to such decision. Please note that the prices may stand revised from the time of your first purchase of the Course and when you seek renewal.

Access to Course(s) is of a personal nature and is solely for the benefit of the User subscribing and is not allowed to be resold by you or transferred to or shared with any other person for consideration or otherwise. In the event we get to know that any User has resold / transferred / shared Subscription with another person, then EthicsIndia retains the right to cancel/terminate the Subscription forthwith.

Payment Terms

EthicsIndia does not charge any fee for registration and account creation.

The Course Fees payable will be displayed to the User before the User sends an enrolment request to EthicsIndia.

EthicsIndia will collect the Course Fees from Users at the time of the enrolment request.

You can purchase a Course(s) of your choice by following instructions on the Platform and making the payment applicable for the Course you intend to purchase.

You agree to pay all Course Fee that are attributable to your account on the Platform and that you are solely responsible for payment of these fees. The Course Fee are payable in full and in advance and are valid until the completion of the applicable Subscription Period.  

EthicsIndia agrees that no refund will be permitted in respect of tuitions already provided and  in accordance with the cancellation policy reflected in the relevant Listing, (i) permit the Student to cancel the enrolment and (ii) refund to the Student that portion of the Course Fees specified in the applicable cancellation policy. In case relevant Listing does not have a specified cancellation policy, the refund amount would be pro-rata to the unconsumed portion of the tuition.

You agree that EthicsIndia through its Site would raise system generated receipt to the User in relation to the Course for which the User has enrolled or in relation to any kind of payment done, as per applicable laws. EthicsIndia will subsequently raise invoice for the above which shall be inclusive of all applicable Taxes.

You as a User agree to pay the Course Fees for any enrolment requested, in connection with your EthicsIndia User Account. EthicsIndia will collect the Course Fees pursuant to the Payments Terms.

Once Your enrolment transaction is complete you will receive a confirmation email and receipt summarizing your confirmed enrolment.

Cancellations and Refunds

Unless stated otherwise, all Course Fees and other amounts referred to in this Terms and Conditions: (a) shall be payable in Indian Rupees; and (b) are non-cancellable and non-refundable.

Sharing User Details

You agree that in the event we receive a subpoena issued by a court or from a law enforcement or government agency, we shall comply with such subpoenas without your consent or prior notice to you and may disclose your IP address, username, name, IP location or other information in response thereto. This is to be read along with the Privacy Policy.

Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of India without giving effect to any of its conflicts of law provisions. You agree that any cause of action relating to your use of the Sites must be filed in the courts located of Mumbai in India.

Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

USE OF THE WEBSITE AND SERVICE IS AT YOUR OWN RISK. THE MATERIALS, INFORMATION, PRODUCTS AND SERVICES OFFERED ON OR THROUGH THE SITES AND ANY THIRD-PARTY SITES ARE PROVIDED ON “AS IS BASIS AND WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED.”

Except as provided herein, the failure to exercise a right or to require performance of an obligation under this Terms shall not effect a party’s ability to exercise such right or require such performance at any time thereafter nor shall be the waiver of a breach constitute a waiver of any subsequent breach.

Changes to These Terms and Conditions

We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 7 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion.

By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the website and the Service.
